1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Mantikos AI (“Company,” “we,” “us,” or “our”) governing your access to and use of the Mantikos AI platform, website, and services (collectively, the “Service”). By creating an account, accessing the Service, or clicking “I Agree,” you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Risk Disclaimer, which are incorporated herein by reference.

If you do not agree to these Terms in their entirety, you must not access or use the Service. Your continued use of the Service following any modification to these Terms constitutes your acceptance of such modifications.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into a binding contract;
  • Not be located in, or a citizen or resident of, any jurisdiction where participation in prediction markets or use of this Service is prohibited by law;
  • Comply with all applicable local, state, national, and international laws and regulations;
  • Have a valid Kalshi account in good standing; and
  • Not be on any government sanctions list or prohibited persons list.

By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your eligibility at any time and to terminate your account if you do not meet these requirements.

3. Description of Service

Mantikos AI provides a software platform that uses artificial intelligence and algorithmic analysis to identify trading opportunities in prediction markets, specifically on the Kalshi platform. The Service may include, without limitation:

  • AI-generated trading signals and market analysis;
  • Automated trade execution via your connected Kalshi API credentials;
  • Portfolio dashboard and trade history reporting;
  • Risk management tools and configurable trading parameters; and
  • Subscription-based account tiers with varying feature sets.

4. Account Registration and Security

To access the Service, you must create an account and provide accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials;
  • All activity that occurs under your account;
  • Promptly notifying us of any unauthorized use of your account; and
  • Keeping your Kalshi API credentials current and secure.

We will never ask for your Mantikos password via email or phone. You agree not to share your account with any third party. We are not liable for any loss resulting from unauthorized use of your account that occurs before you notify us.

5. API Credentials and Authorization

By connecting your Kalshi API key to the Service, you explicitly authorize Mantikos AI to:

  • Access your Kalshi account data on your behalf;
  • Place, modify, and cancel trades within the parameters you configure; and
  • Read your trade history, balances, and market positions.

Your API credentials are encrypted using AES-256-GCM encryption at rest. We never store your credentials in plaintext. You may revoke access at any time by removing your API key from your Mantikos account settings or by revoking the key within your Kalshi account. You are solely responsible for monitoring your Kalshi account activity and for any trades executed by the Service within your configured parameters.

6. Subscriptions and Billing

The Service is offered on a subscription basis. By subscribing to a paid tier, you agree to:

  • Pay all applicable fees as described on our pricing page;
  • Authorize recurring charges to your payment method on a monthly basis;
  • Provide accurate and complete billing information; and
  • Update your payment information if it changes.

Founding Member Rate: Users who subscribe during the Founding Member period at $49/month will retain that rate for as long as their subscription remains active and in good standing. Cancellation and resubscription forfeits the Founding Member rate.

Cancellation: You may cancel your subscription at any time through your account settings. Your subscription will remain active through the end of the current billing period. We do not provide refunds for partial months.

Price Changes: We reserve the right to modify subscription pricing with 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law;
  • Attempt to circumvent, disable, or interfere with security features of the Service;
  • Reverse engineer, decompile, or disassemble any component of the Service;
  • Use automated tools (other than our own Service) to scrape or extract data;
  • Impersonate another person or entity;
  • Share your account credentials or provide access to unauthorized third parties;
  • Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure;
  • Engage in market manipulation, wash trading, or any form of fraudulent trading activity; or
  • Violate Kalshi's terms of service or applicable exchange rules.

8. Intellectual Property

The Service and all content, features, functionality, algorithms, models, code, trademarks, logos, and other materials provided through the Service are and will remain the exclusive property of Mantikos AI and its licensors. These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use the Service in accordance with these Terms.

You retain ownership of any data you provide to the Service. By submitting data to the Service, you grant us a non-exclusive, worldwide, royalty-free license to use that data to provide, improve, and develop the Service.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure;
  • Any AI signals or recommendations will be accurate or profitable;
  • The Service will meet your specific requirements or expectations; or
  • Any defects in the Service will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KAIROS AI, ITS DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, TRADING LOSSES, DATA LOSS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claims arising out of or relating to the Service shall not exceed the greater of (a) the total amount paid by you to us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Mantikos AI and its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any trading activity conducted through your account, including any trades executed by the Service on your behalf.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in Maricopa County, Arizona.

Class Action Waiver: You waive any right to participate in any class action lawsuit or class-wide arbitration against Mantikos AI.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where feasible, by sending notice to your registered email address at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 8, 9, 10, 11, and 13 of these Terms survive termination.
